The operating rules for using KeyCodes.ai.

These Terms of Service (the “Terms”) are a legal agreement between you (“you” or “User”) and Keycodes AI, LLC, a Delaware limited liability company (“KeyCodes.ai,” “we,” “our,” or “us”). They govern your access to and use of the KeyCodes.ai website, web application, mobile application, APIs, and related services (collectively, the “Service”).

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

The Service is offered solely for legitimate professional use by licensed locksmiths, dealer service staff, and other qualified automotive professionals. By using the Service, you represent and warrant that: (a) you are at least 18 years old and able to form a binding contract; (b) you hold any licenses required to perform automotive locksmith or keycode work in your jurisdiction; (c) you will only request keycodes, PINs, and related data for vehicles you have lawful authorization to service; and (d) you are not prohibited from using the Service under applicable law.

You must provide accurate, current, and complete information during registration and keep it updated. Accounts may be subject to manual review and approval based on verification of professional credentials. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@keycodes.ai of any unauthorized use.

KeyCodes.ai provides tools for VIN decoding, key-code retrieval, PIN retrieval, dealer workflow management, and related functionality. The Service depends on upstream data sources and third-party providers; availability and coverage of any given vehicle, model, or region may change without notice.

Prepaid wallet model. The Service is funded via a prepaid wallet. You add funds to your wallet (“Credits”) through our payment processor, and Credits are deducted when you successfully retrieve a keycode, PIN, or other billable deliverable.

Debit on successful delivery. We debit your wallet only when a keycode, PIN, or equivalent deliverable is actually returned to you. Failed lookups, timeouts, and errors do not consume Credits.

Payment processor. All payments are handled by Stripe, Inc. KeyCodes.ai does not store your full payment card number. Your use of Stripe is subject to Stripe’s own terms and privacy policy.

Pricing changes. Package pricing and other fees may change. We will provide reasonable advance notice of material pricing changes that affect future purchases through the Service or by email.

Taxes. Fees do not include taxes, which you are responsible for where applicable.

Unused wallet balance. If you have Credits that have not yet been consumed for a successful delivery, you may request a refund of the unused balance by contacting billing@keycodes.ai. Refunds are issued to the original payment method.

Consumed Credits are non-refundable. Credits that have been debited for a successfully delivered keycode, PIN, or other deliverable are non-refundable, because the Service has been rendered.

Our delivery guarantee. Because the Service only debits your wallet when a deliverable is actually returned, you will not be charged for failed lookups or errors. If you believe Credits were debited in error, contact billing@keycodes.ai and we will investigate and, where warranted, credit or refund the amount.

You agree not to, and not to permit any third party to:

• Use the Service to obtain keycodes, PINs, or related data for a vehicle you do not have lawful authority to service;
• Misrepresent your identity, credentials, or authorization;
• Share, resell, or redistribute Service output other than to the vehicle owner or their authorized representative;
• Share account credentials with any other person or entity;
• Reverse engineer, decompile, scrape, or attempt to derive source code or non-public data from the Service, except to the extent expressly permitted by law;
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service, other accounts, or related systems;
• Use the Service to violate applicable law, including anti-theft, privacy, data protection, consumer protection, export control, or sanctions law.

The Service, including all software, interfaces, content, trademarks, and data compilations, is owned by KeyCodes.ai or our licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted.

You retain ownership of the data you submit to the Service (including VINs and lookup metadata). You grant KeyCodes.ai a worldwide, royalty-free, non-exclusive license to host, process, and use that data to operate and improve the Service and to comply with legal obligations. You represent that you have the rights needed to grant this license.

The Service integrates with third-party providers (including Stripe, Supabase, Vercel, and Intercom). Your use of those services is subject to their own terms and privacy practices. We are not responsible for third-party services.

You may close your account at any time. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, used the Service unlawfully, or exposed KeyCodes.ai or other users to risk of harm or liability. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination will survive (including payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY KEYCODE, PIN, OR DATA RETURNED WILL BE ACCURATE OR COMPLETE FOR YOUR USE CASE. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYCODES.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow limitation of incidental or consequential damages, so parts of this section may not apply to you.

You will indemnify, defend, and hold harmless KeyCodes.ai and its affiliates, officers, employees, and agents from and against any third-party claim, loss, liability, damage, and expense (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or rights of a third party, including vehicle owners; or (d) data or content you submit.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. This choice of law does not deprive you of the protection of mandatory consumer-protection laws in your place of residence.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@keycodes.ai. We will try to resolve the dispute within 60 days.

Binding arbitration. If the dispute is not resolved informally, you and KeyCodes.ai agree to resolve any dispute arising out of or relating to these Terms or the Service through final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules (or Consumer Rules, where applicable). The arbitration will take place in the State of Delaware (or by videoconference for individual consumers). Judgment on the award may be entered in any court of competent jurisdiction.

Class action waiver. You and KeyCodes.ai agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to legal@keycodes.ai within 30 days of first accepting these Terms. Opting out does not affect the other provisions of these Terms.

Exceptions. Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property rights.

You represent that you are not located in, and are not a national or resident of, any country or on any list subject to United States government sanctions or export restrictions that prohibit use of the Service. You will comply with all applicable export, re-export, sanctions, and import laws.

If you believe material on the Service infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c) to legal@keycodes.ai. We will respond to valid notices in accordance with the DMCA.

We may modify the Service or these Terms at any time. Material changes to these Terms will be indicated by updating the “Last updated” date above and, where appropriate, by providing notice through the Service or by email. Your continued use of the Service after the effective date of a change constitutes acceptance. If you do not agree to a change, stop using the Service and you may request a refund of any unused wallet balance under Section 6.

Entire agreement. These Terms, together with the Privacy Policy and any supplemental terms, are the entire agreement between you and KeyCodes.ai regarding the Service and supersede any prior agreements.

Severability. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent needed to make it enforceable.

No waiver. Failure to enforce any provision is not a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Notices. We may give you notice through the Service or by email to the address on file.
